Terms and conditions of sale

These terms and conditions of sale (hereinafter the "T&Cs") are entered into between Cédric Leblond, sole proprietor, whose registered office is located at 4 rue Éric Tabarly, 35240 Retiers (France), registered with the French National Business Register (RNE) on 22 April 2025 under SIREN number 943 404 400, publisher of the website https://dynamidoxa.com, hereinafter referred to as the "Seller", and any natural or legal person wishing to purchase products or services offered by the Seller, hereinafter referred to as the "Customer".

The purpose of these T&Cs is to define the rights and obligations of the parties in connection with the online sale of digital products (indicators and strategies for the NinjaTrader 8 platform) and custom development services offered by the Seller to the Customer.

The Seller is an official NinjaTrader partner. The products marketed are distributed via the partner platform Whop (https://whop.com/dynamidoxa/), which handles transactions and license delivery.

Any order placed on the Seller's website or via the Whop platform implies full, complete and unreserved acceptance of these T&Cs by the Customer. The Customer acknowledges having read the T&Cs before validating the order.

The Seller offers for sale:

• Professional indicators for NinjaTrader 8 (for example, Professional DOM Suite V2 and DynamiDOM Heatmap Pro V1), in the form of software licenses for personal use.
• Trading strategies (automation, scalping, artificial intelligence and machine learning integration).
• Custom development services (tailored indicators, algorithmic systems, server-side Python and AI integrations).

Each product is accompanied by a description provided by the Seller. Screenshots, demonstration videos and illustrations on the site are as faithful as possible, but they cannot bind the Seller to any trading performance or result.

The number of custom development projects accepted simultaneously is limited, in order to guarantee quality and personalized follow-up.

Product prices are indicated on the site or on the Whop platform at the time of the order, in euros (EUR) or US dollars (USD) depending on the reference currency displayed. Prices account for the taxation applicable on the day of the order.

The Seller reserves the right to modify prices at any time. Products will however be invoiced on the basis of the prices in force at the time of order validation.

The Customer places an order via the Whop platform, accessible from the Seller's site. The order is taken into account only upon receipt of full payment.

Contract conclusion steps: (1) reading and acceptance of these T&Cs; (2) provision of required information (identity, valid email address); (3) order validation by the Customer; (4) payment validation by the Whop platform; (5) order acceptance by the Seller and license delivery.

At each step, the Customer confirms their data by a click which, in accordance with the provisions of the French laws of 13 March 2000 and 21 June 2004, marks their irrevocable acceptance of the proposed terms. Acceptance or refusal of the order by the Seller, on a legitimate ground, will be confirmed by email.

Payment is made online via the Whop platform, which accepts in particular credit card payments, as well as any other means of payment offered at checkout. Transactions are fully secured: transmitted information is encrypted and cannot be read in transit over the network.

The Seller never has access to the Customer's banking information.

As the products marketed are exclusively digital, no physical delivery is carried out.

After payment validation:

• The Customer receives download instructions by email or via the Whop platform.
• The Customer installs the indicator on NinjaTrader 8 and retrieves their Machine ID from the software settings.
• The Customer sends their Machine ID to the email address indicated in the documentation.
• The Seller delivers the license key within a maximum of 48 hours (business days).

The license delivered is a lifetime license for the major version concerned (for example V1), including the free minor updates associated with that version. It is not a subscription.

In case of delay or activation difficulty, the Customer can contact the Seller via the contact form or the dedicated Discord server.

9.1. Legal right of withdrawal. In accordance with article L221-28 13° of the French Consumer Code, the 14-day right of withdrawal cannot be exercised for contracts for the supply of digital content not provided on a tangible medium, where performance has begun after the Customer's prior express agreement and express waiver of their right of withdrawal.

By validating the order and requesting license activation, the Customer expressly acknowledges waiving the right of withdrawal, the software license constituting digital content whose performance begins as soon as the activation key is delivered.

If the Customer is not satisfied with the quality or performance of the product, they may request a full refund by sending a request by email to the Seller within 30 days of the order, indicating the order number. The refund is made within a maximum of 14 days after acceptance of the request, using the same payment method as that used at checkout. The associated license will be deactivated following the refund.

This guarantee does not apply to custom development services, which are subject to specific conditions negotiated on a case-by-case basis.

The indicators and strategies sold are granted to the Customer in the form of a personal, non-exclusive and non-transferable license of use.

The Customer undertakes to:

• Use the software on their own NinjaTrader 8 installation, for personal use.
• Refrain from copying, decompiling, disassembling, modifying, redistributing, reselling, renting or sharing the license, the activation key or the software files.
• Refrain from circumventing the Machine ID protection system.

Any violation of these obligations entails immediate termination of the license, without refund, and may give rise to legal proceedings.

In accordance with articles L217-4 et seq. of the French Consumer Code and articles 1641 et seq. of the French Civil Code, all products supplied by the Seller benefit from the legal guarantee of conformity and the legal guarantee against hidden defects.

In case of non-conformity of a digital product, the Seller undertakes to provide a fix, an update or, failing that, to proceed with a refund within a maximum of 5 weeks.

Licenses include:

• Free updates of the major version concerned.
• Technical support via the Discord server dedicated to the user community.
• Access to the tutorials and demonstrations published on the "DynamiFlow Trading" YouTube channel.

Updates to a later major version (for example V2) may be subject to separate pricing, communicated where applicable.

13.1. Decision-support tools. The indicators, strategies and tools marketed by the Seller are analysis and decision-support tools intended for experienced traders. They do not constitute investment advice, a purchase or sale recommendation, or a performance guarantee.

13.3. Limitation of liability. Neither DynamiDoxa, nor the Seller, nor NinjaTrader can be held liable for:

• Trading results, financial losses or loss of earnings suffered by the Customer.
• Direct or indirect damages resulting from the use or inability to use the products.
• Interruptions or malfunctions linked to the NinjaTrader platform, the Customer's data feed, or their IT environment.
• Modifications to third-party products (NinjaTrader, data providers) that may affect compatibility.

All elements of the Seller's site and products (source code, indicators, strategies, algorithms, texts, graphics, logos, videos, documentation, interfaces) are and remain the exclusive intellectual property of the Seller.

No person is authorized to reproduce, exploit, redistribute, decompile or use in any way whatsoever, even partially, the elements of the site or the software, without prior written authorization from the Seller.

Any unauthorized use constitutes infringement sanctioned by articles L335-2 et seq. of the French Intellectual Property Code.

The personal information collected from the Customer is necessary for processing and managing orders, delivering licenses and providing support.

Purpose of processing: personal data is processed solely for product sales, license management (Machine ID), invoicing and, where applicable, support communication.

Data collected: first name, last name, email address, NinjaTrader Machine ID, as well as the data necessary for payment processing via the Whop platform.

Recipients: the data is reserved for the Seller and the Whop platform for the needs of the transaction. It is not shared with third parties without the explicit consent of the Customer.

These T&Cs are subject to French law.

In case of dispute, the Customer is invited to contact the Seller beforehand in order to seek an amicable solution. In accordance with article L612-1 of the French Consumer Code, the consumer Customer may also use, free of charge, a consumer mediator with a view to an amicable resolution of the dispute.

Failing amicable agreement, the French courts shall have sole jurisdiction.
